M&A Analyst - Milan

Position Summary
The M&A Analyst will support the underwriting team by conducting detailed analysis of M&A transactions, assessing risk factors, and assisting in the preparation of RWI policies. This role requires a strong understanding of financial statements, legal documentation, and due diligence processes associated with M&A transactions.

Key Responsibilities

  • Transaction Analysis:
    • Review and analyze financial statements, purchase agreements, and other legal documentation related to M&A transactions.
    • Conduct thorough due diligence to identify potential risks and exposures.
    • Assist in the evaluation of representations and warranties made by transaction parties.
  • Risk Assessment:
    • Collaborate with senior underwriters to assess the risk profile of M&A deals.
    • Identify key risk factors and provide insights on how these can impact the transaction.
    • Support the development of risk mitigation strategies and insurance policy structures.
  • Documentation and Reporting:
    • Prepare detailed reports and presentations summarizing findings from due diligence and risk assessments.
    • Assist in drafting RWI insurance policy terms and conditions.
    • Maintain accurate records of all transaction-related activities and communications.
  • Client Interaction:
    • Support senior underwriters in client meetings and discussions.
    • Provide clients with updates and information regarding the underwriting process.
    • Assist in addressing client inquiries and concerns promptly and professionally.
  • Market Research:
    • Conduct research on market trends, regulatory changes, and competitive landscape in the RWI insurance sector.
    • Monitor industry developments and provide insights to the underwriting team.
  • Continuous Improvement:
    • Participate in internal training sessions and professional development programs.
    • Suggest improvements to underwriting processes and tools to enhance efficiency and accuracy.
