Capital Markets Associate (ECM/DCM, 1-4 PQE)
Job description
A prestigious US law firm is seeking a talented Capital Markets Associate to join its high-performing New York office. The successful candidate will gain hands-on experience across a wide spectrum of equity and debt offerings, representing issuers, underwriters, and financial sponsors in both domestic and cross-border transactions.
Key Responsibilities:
- Advise on a full range of capital markets transactions, including IPOs, secondary offerings, Rule 144A/Reg S offerings, high-yield and investment-grade debt issuances.
- Draft and review key documentation, including offering memoranda, underwriting agreements, and disclosure documents.
- Conduct due diligence and liaise with clients, regulators, and internal teams.
- Support partners on complex structuring and regulatory aspects under US securities laws.
Candidate Profile:
- 1-4 years of experience in capital markets (ECM and/or DCM) at a top-tier US or international law firm.
- Strong knowledge of Securities Act, Exchange Act, and other relevant US securities regulations.
- JD from a top law school and admitted to the New York Bar.
- Excellent drafting, analytical, and communication skills.
- Strong attention to detail, commercial acumen, and a collaborative mindset.
